Vringo Announces Completion of Initial Public Offering

June 28, 2010 – NEW YORK – Vringo, Inc. (NYSE Amex: VRNGU), a provider of video ringtones and mobile personalization solutions for mobile devices, announced today that it has completed its initial public offering of 2,392,000 units at a price of $4.60 per unit. Each unit consists of one share of common stock and two five-year warrants, with each warrant conferring the right to purchase one share of common stock at an exercise price of $5.06 per share.

The net proceeds received by Vringo from the offering were approximately $9.4 million after deducting underwriting discounts and commission and estimated offering expenses.

On or prior to September 18, 2010, the units will separate into common stock and warrants, and the component securities will begin trading as separate securities. The common stock is expected to trade on the NYSE Amex under the symbol “VRNG” and the warrants are expected to trade under the symbol “VRNGW.” Vringo will issue a press release announcing the date such separate trading will begin. 

Maxim Group LLC acted as the sole book-running manager for the offering and sole representative of the underwriters. Chardan Capital Markets, LLC and Ladenburg Thalmann & Co. Inc. acted as co-managers for the offering.

Vringo, Inc. Announces Pricing of $11,003,200 Initial Public Offering

June 22, 2010 – NEW YORK – Vringo, Inc. (the “Company”), a provider of video ringtones and mobile personalization solutions for mobile devices, today announced that it has priced its initial public offering of 2,392,000 units (NYSE Amex: VRNGU) at an offering price of $4.60 per unit (before underwriting discounts and commissions), resulting in gross proceeds of $11,003,200 to the company. Each unit consists of one share of Vringo common stock (NYSE Amex: VRNG) and two five-year warrants (NYSE Amex: VRNGW), each warrant to purchase one share of common stock at an exercise price of $5.06 per share. In addition, the Company has granted the underwriters a 45-day option to purchase up to an additional 358,800 units to cover over-allotments, if any.

The Company expects to use the net proceeds from the offering for capital expenditures, cost of revenue, research and development, sales and marketing and general corporate purposes, including working capital and repayment of a portion of its credit loan facility.

Maxim Group LLC is acting as the sole book-running manager and sole representative of the underwriters. Chardan Capital Markets, LLC and Ladenburg Thalmann & Co. Inc. are acting as co-managers for the offering.

NEW YORK–Jan. 29, 2010—Vringo, Inc., a video ringtone service provider, has filed a registration statement on Form S-1 with the U.S. Securities and Exchange Commission, which outlines the Company’s plans for an initial public offering of its securities.

According to the document, the Company intends to raise $12 million in capital in the IPO, with the potential of reaching $13.8 million if an over-allotment option is exercised. The Company plans to issue 2.4 million units, with each unit consisting of one share of common stock and two warrants. VRINGO REBOOTS THE RINGTONE WITH RADICALLY NEW VERSION OF ITS MOBILE APPLICATION

NEW YORK–Feb. 10, 2009—Vringo™, the next-generation ringtone pioneer, has given its award-winning free video ringtone application a makeover, and today is announcing version 2.0 for Symbian- and J2ME-enabled phones. Vringo’s intuitive new mobile browser makes it easier, quicker and more fun to find and share video ringtones. With Vringo 2.0, managing one’s ringtone collection is a highly visual experience, with thumbnail images of videos, and video previews that run in higher resolution.

Vringo 2.0 turns the ringtone on its head in numerous ways. In addition to enabling high-quality video, the application makes it simple for users to record and share their own original ringtone via their phones’ cameras. In addition, Vringo’s social VringForward™ technology puts a spin on the traditional ringback tone by letting users select the ringtones their friends will see when they call.
